Not-for-profit organizations are regulated by a multi-layered system of local, state, and federal laws. The process of starting a nonprofit generally involves incorporating as a nonprofit corporation in your state of choice, preparing governing documents that set forth the structure of the organization, and obtaining tax-exempt status from the IRS. You will also need to comply with various annual reporting requirements at both the state and federal level in order to maintain your tax-exempt status.

I’ve served as legal counsel to many nonprofit organizations over the years in an array of fields, including:

  • Theatre groups; visual artists; textile makers; small galleries and museums;

  • Service organization and religious charities; and

  • Membership-based professional organizations (e.g., clinical medicine practitioners and domestic and international sporting foundations).   

I have wide experience preparing initial charity registration filings, drafting bylaws and nonprofit governing documents, developing mandatory and recommended internal compliance policies, and advising regarding third-party contracts and relationships.
